Corporate - Legal and ComplianceThe Jennison Law Department is seeking an investment management attorney to be the sole lawyer located in Jennison's Boston office joining a small team of experienced lawyers and paralegals located in New York and London. This position is hybrid and we are in the office three days a week.
Jennison Associates LLC, an SEC registered investment adviser and a business unit of PGIM, the global asset management business of Prudential Financial, Inc. has offices in New York, New York and Boston, Massachusetts. Jennison's equity portfolio management teams are primarily based in Jennison's NYC offices and Jennison's fixed income investment management team operate from Jennison's Boston office Additionally, Jennison's global equity team operate from both the Boston and New York city offices.
Jennison provides active equity and fixed income investment management services to clients located in the US and outside the US. Jennison's clients include ERISA and non-ERISA pensions, endowments and foundations, insurance companies, sovereign wealth funds, US and non-US investment advisers and US and non-US registered and unregistered vehicles such as mutual funds, collective trust funds, UCITS and private funds. Jennison's Law Department provides legal advice across a range of issues affecting Jennison's investment management business and works closely with colleagues across Jennison's compliance, operations, marketing, distribution, product, finance groups and investment professionals including, portfolio managers, traders, and analysts as well as colleagues across PGIM's and Prudential's law and compliance groups.
The current EWA for this position is Hybrid and requires on-site presence on a reoccurring basis as determined by the business. We will provide additional details relative to the specific number of days you are expected to be on-site.
What you can expect:
Projects will be focused on supporting activities in both Boston and New York:
• Drafting, reviewing and negotiating investment management agreements and amendments and related client documentation for ERISA and non-ERISA clients;
• Providing legal advice and supporting the onboarding of investors to Jennison managed pooled vehicles such as CITs and private vehicles;
• Assisting in ongoing legal aspects of operating existing investment funds, including the review of contractual provisions, preparing amendments and updating and revising investment vehicles' offering materials;
• Providing legal and regulatory advice with respect to marketing of such vehicles and investment advisory services;
• Review and provide legal and regulatory advice on new regulatory developments, including working with Jennison's compliance and business partners and colleagues across the Prudential Law Department in working groups and participating in industry groups;
• Review and negotiate vendor contracts;
• Other projects as assigned
• Actively participating in programs of Jennison and Prudential's Law, Compliance, Business Ethics and External Affairs
What you'll need:
• JD and bar membership;
• 5 – 10 years relevant experience in a law firm and/or investment management firm;
• Strong knowledge and experience advising on US Investment Advisers Act; US Investment Company Act, US Securities Act; and US Securities Exchange Act
• Experience with negotiating investment management agreements for managed vehicles such as collective investment trusts and private fund vehicles and separately managed accounts.
• Familiarity with plan investment issues of ERISA plan investors;
• Experience supporting fixed income investment teams;
• Familiarity with separately managed account programs and the provision of investment management services to such programs;
• Proven ability to work independently and efficiently and as a team player in a demanding, fast-paced, fluid environment handling multiple tasks and projects concurrently, while maintaining highest standards and attention to detail.
• Demonstrate leadership skill and the ability to work with and maintain a positive working relationship with a diverse team of legal and other professionals;
• Confidence and interpersonal and networking skills necessary for effective interaction with business clients at all levels and external parties; Must be able to partner and maintain positive working relationship with legal department colleagues and senior management, investment management, risk, compliance, and other support areas with a proven ability to provide actionable, practical, sound legal advice;
• Outstanding communication, organizational, negotiation and writing skills.
